PART I

Agreement and Account Framework

Acceptance, service provider information, adult eligibility, and account security.

1. Acceptance of These Terms

These Terms of Service are a binding agreement governing your access to and use of Lida.

1.1 By downloading, installing, creating an account, joining a Circle, purchasing Sofa Coins, or otherwise using Lida, you confirm that you have read, understood, and agree to these Terms.

1.2 If you do not agree to every provision of these Terms, do not access or use Lida. You may stop using the service and delete your account as described in Clause 24.

1.3 These Terms apply to the Lida iOS application, account registration, invitation-only Circles, text chat, audio Lounges, one-to-one video calls, Sofa Coins, Circle slots, customer support, and related services.

1.4 Certain features may present additional rules, purchase disclosures, permission notices, Community Guidelines, or safety instructions. Those materials form part of these Terms when they apply to the feature you use.

1.5 If a translated version of these Terms is provided, the English version will control to the extent permitted by applicable law if there is a conflict or ambiguity.

1.6 You represent that you have the legal capacity to enter into this agreement and that your use of Lida will comply with all laws and regulations applicable to you.

2. Service Provider, Contact, and Related Policies

Lida is provided by the legal entity identified as the developer or seller on the applicable App Store product page.

2.1 In these Terms, "Lida," "we," "us," and "our" refer to that service provider and its authorized affiliates, contractors, and successors where the context requires.

2.2 You may contact us about these Terms, account issues, purchases, safety concerns, or complaints at service@lida.support.

2.3 The Lida Privacy Policy explains how personal data is collected, used, retained, shared, and protected. By using Lida, you acknowledge that data will be handled as described in that policy.

2.4 The Community Guidelines describe content and conduct standards in greater detail. A breach of the Community Guidelines is also a breach of these Terms.

2.5 If a conflict exists between these Terms and feature-specific purchase terms, the feature-specific terms govern only that purchase or feature. Mandatory consumer rights always remain unaffected.

3. Eligibility and Adult-Only Use

Lida is an adult-only service intended for users who are at least 18 years old.

3.1 You must be 18 years of age or older to create or maintain an account, join or create a Circle, enter a Lounge, participate in a video call, or purchase or use Sofa Coins.

3.2 You must not create an account for a minor or knowingly invite a person under 18 to use Lida. Invitation codes should be shared only with adults you know and intend to admit to a private Circle.

3.3 You must satisfy any additional age, contractual-capacity, or digital-service requirements that apply in your country or region.

3.4 We may request an age declaration or use proportionate age-assurance measures when reasonably necessary for safety or legal compliance. No age-assurance method is guaranteed to be error-free.

3.5 If we reasonably believe an account belongs to a person under 18, we may restrict, suspend, or delete the account and preserve or disclose relevant information when required for safety or by law.

4. Account Registration and Security

A personal account and Sign in with Apple are required to use Lida account features.

4.1 You must provide accurate information when requested and must not impersonate another person, misrepresent your identity, or create an account for deceptive or unlawful purposes.

4.2 Lida may assign a random nickname and default avatar during registration. You may later change eligible profile information, but your nickname, avatar, and other profile elements must comply with these Terms.

4.3 Your account is personal, non-transferable, and may not be sold, rented, shared, or used by another person. You are responsible for activity conducted through your account unless prohibited by law.

4.4 You are responsible for protecting your device, Apple account, authentication credentials, invitation codes, and access tokens. Notify us promptly if you suspect unauthorized access or account compromise.

4.5 We may require identity, transaction, device, or account verification before restoring access, handling certain disputes, processing sensitive requests, or investigating abuse.

4.6 You may not create multiple accounts to evade a suspension, obtain duplicate benefits, manipulate Circle limits, harass users, or interfere with enforcement measures.

PART II

Lida Service and Circle Experience

Private Circles, invitation rules, text chat, audio Lounges, video calls, and service availability.

5. Description and Intended Use of Lida

Lida is a lightweight social service for small groups of adults who already know one another.

5.1 Lida provides private, invitation-only Circles in which members can exchange text messages, see relevant online status, enter a persistent audio Lounge, and invite eligible same-Circle members to one-to-one video calls.

5.2 Lida does not provide public user search, public Circle discovery, nearby-user discovery, stranger matching, random chat, anonymous video matching, dating matching, or a public content feed.

5.3 Lida is not a business meeting service, emergency communication system, medical service, financial service, professional advice service, or substitute for contacting emergency authorities.

5.4 A private or invitation-only design does not guarantee that another user is trustworthy, accurately identified, or acting lawfully. You remain responsible for deciding whom to invite, trust, contact, or meet.

5.5 We may establish reasonable usage limits, technical requirements, safety controls, regional restrictions, or feature eligibility rules to operate and protect the service.

6. Circle Creation, Invitations, Membership, and Ownership

A Circle is a private social space with one owner and no more than 10 members.

6.1 A user with an available Circle slot may create a Circle or join an existing Circle through a valid invitation code. Lida does not provide a search or application process for joining private Circles.

6.2 A Circle owner selects the Circle name and cover, manages the active invitation code, may remove ordinary members, may update Circle details, and may dissolve the Circle.

6.3 Invitation codes are confidential access tools. Do not publish, sell, scrape, guess, or distribute a code beyond the adults the Circle intends to admit. We may rate-limit or block suspicious code attempts.

6.4 A Circle owner is not an employee, representative, agent, partner, or moderator acting on behalf of Lida. Owners are responsible for exercising Circle controls lawfully and in good faith.

6.5 Members may leave a Circle, and owners may remove members. A removed or departing member loses access to the Circle and its history as implemented by the service, but certain records may remain for legal, safety, transaction, or backup purposes.

6.6 The owner cannot directly leave a Circle in the current version and must dissolve it first. Ownership transfer is not supported unless Lida later introduces that feature.

6.7 Dissolving a Circle ends member access, invalidates its invitation code, and may begin deletion or de-identification of associated records subject to the Privacy Policy and legal retention requirements.

7. Text Chat, Audio Lounges, and One-to-One Video

Communication features are limited to Circle members and are subject to safety, permission, and technical rules.

7.1 Text chat currently supports text messages only. Messages must comply with content limits, anti-spam controls, safety filters, and the Community Guidelines.

7.2 Each Circle has a persistent audio Lounge that members may enter without a host starting a meeting. Your microphone is off by default, and you control when to turn it on.

7.3 A one-to-one video invitation may be sent only between eligible online members of the same Circle. The recipient must affirmatively accept before a video connection is established.

7.4 At the start of a video call, the microphone and camera are off by default. Each participant controls their own microphone and camera and may end the call at any time.

7.5 Lida does not record, store, or replay Lounge audio or one-to-one video content. Other participants may use device-level or external recording tools that Lida cannot fully prevent, and you must not record another person unlawfully or without required consent.

7.6 A user may not participate in a Lounge and a one-to-one video call at the same time. Starting a video call may require leaving the Lounge first.

7.7 Backgrounding the App, locking the device, losing required permissions, or experiencing network failure may mute, disconnect, or end a communication session.

8. Service Availability, Changes, and Technical Requirements

Lida is provided through networks, devices, operating systems, and service providers that may not always be available.

8.1 We do not guarantee uninterrupted, error-free, secure, or universally available operation. Maintenance, security events, network conditions, device limitations, third-party outages, or legal restrictions may affect access.

8.2 You are responsible for a compatible Apple device, supported iOS version, internet connection, Apple account, and any carrier or data charges associated with your use of Lida.

8.3 We may add, modify, suspend, limit, replace, or discontinue a feature when reasonably necessary for safety, legal compliance, technical development, commercial operation, or user experience.

8.4 We will not intentionally remove a paid digital entitlement without honoring applicable law, Apple requirements, and the purchase terms presented when the entitlement was acquired.

8.5 Updates may be required to continue using Lida. Failure to install an available update may result in reduced functionality, security risks, or loss of access to unsupported versions.

8.6 Features, prices, languages, and availability may differ by country, App Store storefront, device, account status, or service version.

PART III

Community Conduct and User-Generated Content

Behavior standards, UGC rights, intellectual property complaints, reporting, blocking, and moderation.

9. Community Rules and Prohibited Conduct

You must use Lida respectfully, lawfully, and only for its intended private-circle purpose.

9.1 You may not harass, bully, stalk, threaten, intimidate, shame, blackmail, extort, defame, discriminate against, or encourage violence or self-harm against another person.

9.2 You may not post or transmit pornography, non-consensual intimate imagery, sexual exploitation, sexual services, trafficking content, graphic violence, credible threats, hate content, or instructions that facilitate serious wrongdoing.

9.3 You may not impersonate another person or organization, misrepresent affiliations, deceive users about your identity or intentions, or use another person's image or information without lawful permission.

9.4 You may not engage in scams, phishing, fraud, spam, unauthorized commercial solicitation, pyramid schemes, malware distribution, credential theft, or attempts to obtain money or sensitive information deceptively.

9.5 You may not expose another person's private information, share confidential material without authorization, infringe intellectual property rights, or upload content that you do not have the right to use.

9.6 You may not interfere with the service, overload infrastructure, probe security, bypass access controls, automate account activity, scrape data, reverse engineer protected components, or exploit errors for unauthorized benefit.

9.7 You may not evade blocks, suspensions, rate limits, purchase controls, Circle limits, age restrictions, or safety measures, or assist another person in doing so.

9.8 Any conduct involving minors is subject to the stricter rules in Part IV, including the zero-tolerance CSAE provisions.

10. UGC Ownership, License, and User Responsibilities

You retain ownership of rights you lawfully hold in the content you submit to Lida.

10.1 "UGC" includes nicknames, avatars, Circle names, Circle covers, text messages, report descriptions, support communications, feedback, and other material submitted through the service.

10.2 By submitting UGC, you grant Lida a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to host, store, reproduce, encode, format, transmit, display, and otherwise process that UGC only as reasonably necessary to operate, secure, moderate, support, and improve Lida.

10.3 The license continues for as long as the UGC remains available through Lida and for a reasonable period afterward in backups, safety records, legal holds, transaction records, or copies lawfully retained by other users.

10.4 You represent and warrant that you own or have all rights, permissions, and lawful bases needed to submit the UGC and to grant the license above, and that the UGC does not violate law, these Terms, or another person's rights.

10.5 You are solely responsible for your UGC and interactions. Lida does not endorse UGC and is not responsible for statements, advice, promises, offers, or conduct of users, except to the extent liability cannot be excluded by law.

10.6 Do not place passwords, payment credentials, government identifiers, medical records, or other highly sensitive information in messages, profiles, Circle names, Circle covers, or reports unless strictly necessary and lawful.

10.7 Feedback and suggestions may be used by Lida without restriction or payment, provided we do not publicly identify you as the source without permission unless required by law.

11. Copyright and Intellectual Property Complaints

Lida respects intellectual property rights and may remove or restrict content that infringes those rights.

11.1 You may not submit content protected by copyright, trademark, publicity, privacy, or other proprietary rights unless you own the rights or have sufficient permission.

11.2 A rights holder or authorized representative may send an infringement notice to service@lida.support identifying the protected work, the allegedly infringing material and its location, contact information, a good-faith statement, and a statement that the notice is accurate and authorized.

11.3 Where applicable law requires it, the notice should include a physical or electronic signature and a statement made under penalty of perjury that the sender is authorized to act for the rights holder.

11.4 We may request additional information, forward a notice to the affected user, remove or restrict material, preserve relevant records, or terminate repeat infringers where appropriate.

11.5 If you believe material was removed by mistake, you may submit a counter-notice with the information required by applicable law. Restoring content is not guaranteed and may depend on legal process or the rights holder's response.

11.6 False, misleading, or abusive infringement reports may create legal liability and may result in account restrictions.

12. Reporting, Blocking, Moderation, and Enforcement

Lida provides safety tools and may take action to protect users, the service, and the public.

12.1 Users may report eligible messages, members, Circles, and video sessions through available in-app tools or by contacting service@lida.support.

12.2 Users may block other members. Blocking may hide future message content, stop audio delivery, end a current video call, prevent further video invitations, and limit direct interaction without automatically removing either user from a shared Circle.

12.3 We may use automated filters, rate limits, risk signals, human review, and information supplied in reports to identify spam, abuse, illegal content, unsafe behavior, or violations of these Terms.

12.4 We may reject, block, remove, preserve, restrict, or disable access to UGC, a feature, a Circle, or an account. We may also warn users, limit invitations, reverse unauthorized benefits, or permanently terminate access.

12.5 We are not obligated to monitor every message, Lounge, video call, or user interaction. Because Lida does not record Lounge audio or video content, review of real-time incidents may rely on user statements, account data, session metadata, and other available evidence.

12.6 Enforcement decisions may be made without advance notice when immediate action is reasonably necessary for safety, legal compliance, fraud prevention, service integrity, or evidence preservation.

12.7 You may contact service@lida.support to ask about an enforcement decision. We may decline to disclose confidential detection methods, another person's information, or details that could compromise safety or an investigation.

12.8 Knowingly false reports, coordinated reporting abuse, retaliation against reporters, or attempts to manipulate moderation are prohibited.

PART IV

Protection of Minors and User Safety

Underage accounts, CSAE prevention, consent in real-time communication, emergency limitations, and authority cooperation.

13. Underage Accounts and Age-Assurance Measures

Lida does not permit people under 18 to use the service.

13.1 A person under 18 must not create an account, accept an invitation, enter a Circle, communicate through Lida, or use paid features.

13.2 Adults must not knowingly assist a minor in accessing Lida, lend an account to a minor, falsify age information, or invite a minor into a Circle.

13.3 We may use account information, user reports, age declarations, behavioral signals, or lawful age-assurance methods to identify potentially underage users.

13.4 If an account is reasonably suspected to belong to a minor, we may request verification, temporarily restrict access, remove the account, and take other safety measures.

13.5 A parent, guardian, or other concerned person may report suspected underage use to service@lida.support. Include only information needed to identify the account and explain the concern.

13.6 Removal of an underage account does not prevent retention or disclosure of information needed to investigate harm, comply with law, or protect a child or other person.

14. Child Sexual Abuse and Exploitation (CSAE)

Lida has zero tolerance for Child Sexual Abuse and Exploitation, commonly referred to as CSAE.

14.1 CSAE includes child sexual abuse material, grooming, sexual solicitation of a minor, sextortion, trafficking, live-streamed abuse, sexualized depictions of minors, and conduct that promotes, facilitates, normalizes, or instructs others to commit such abuse.

14.2 You must not create, request, upload, possess, store, transmit, distribute, sell, advertise, link to, describe for exploitative purposes, or otherwise facilitate CSAE or child sexual abuse material through Lida.

14.3 You must not use Lida to identify, recruit, groom, coerce, threaten, or arrange contact with a minor for sexual or exploitative purposes, even if the communication occurs partly outside Lida.

14.4 We may immediately remove content, disable accounts or Circles, preserve evidence, restrict access, and make reports to child-protection organizations, competent law-enforcement authorities, or other legally designated reporting bodies when required or permitted by law.

14.5 Do not download, copy, forward, or redistribute suspected illegal material for reporting purposes. Use the in-app report tools or contact service@lida.support with identifiers and context, not illegal files.

14.6 If a child appears to be in immediate danger, contact local emergency services or law enforcement. Lida is not an emergency response service and may not review a report in real time.

14.7 Any account involved in CSAE may be permanently terminated, and associated data may be retained as necessary for investigation, reporting, victim protection, legal process, and prevention of repeat abuse.

15. Real-Time Communication, Consent, and Personal Safety

Audio and video communication can create privacy and personal-safety risks even within a familiar group.

15.1 Do not pressure, deceive, threaten, or coerce another user to turn on a microphone or camera, disclose private information, perform an act, send money, move to another platform, or meet offline.

15.2 Respect a participant's decision to decline, leave, mute, disable video, block, or end communication. Repeated invitations after rejection may be rate-limited or treated as harassment.

15.3 You must obtain any consent required by law before recording, photographing, screenshotting, publishing, or sharing another participant's image, voice, messages, or personal information.

15.4 Do not assume that a Circle, Lounge, or one-to-one video call is confidential. Other users may copy text, take screenshots, use external recording tools, or disclose information outside Lida.

15.5 Use caution before sharing your location, home address, workplace, financial details, intimate information, or plans to meet. Lida does not verify the identity, intentions, or background of every user.

15.6 If you choose to meet another user offline, you do so at your own risk. Consider meeting in a public place, informing a trusted person, arranging independent transportation, and following local safety guidance.

16. Safety Reports, Emergencies, and Cooperation with Authorities

Lida offers reporting tools but does not provide emergency monitoring or guaranteed real-time intervention.

16.1 For immediate threats to life, physical safety, or a child, contact local emergency services or law enforcement before or instead of contacting Lida.

16.2 Safety reports should include relevant account names, Circle information, message identifiers, dates, approximate times, and a clear description. Do not send passwords, full payment credentials, or illegal files.

16.3 We may preserve and disclose account information, UGC, report records, transaction records, device or session data, and other available evidence in response to valid legal process or when reasonably necessary to prevent serious harm, investigate abuse, or comply with law.

16.4 We may cooperate with law enforcement, courts, regulators, child-protection bodies, payment processors, Apple, and trusted safety service providers, subject to applicable law and the Privacy Policy.

16.5 We may notify an affected user of a legal request unless prohibited by law or when notice could create danger, compromise an investigation, or defeat the purpose of the request.

16.6 Lida does not guarantee that a report will produce a particular outcome. Decisions depend on available evidence, legal obligations, safety considerations, and the reliability of submitted information.

PART V

Sofa Coins and Paid Digital Features

Virtual items, reusable Circle slots, paid video time, Apple billing, refunds, reversals, and purchase disputes.

17. Sofa Coins and Virtual Item Rules

Sofa Coins are limited, revocable virtual items used only for eligible digital features within Lida.

17.1 Sofa Coins may be acquired only through Apple In-App Purchase unless another method is expressly permitted by applicable App Store rules and clearly offered by Lida.

17.2 Sofa Coins are not money, stored value, cryptocurrency, a deposit, an investment, or property with cash value. They may not be transferred, gifted, sold, traded, withdrawn, redeemed for cash, or exchanged outside Lida.

17.3 Purchased Sofa Coins do not expire while your account remains active, but they may be removed upon a valid refund, charge reversal, fraud correction, account deletion, or termination for serious misconduct, subject to applicable law.

17.4 Your server-side balance and transaction history control if a display error, duplicate transaction, delayed synchronization, or device record conflicts with Lida's verified records.

17.5 We may correct a balance that resulted from error, duplication, fraud, unauthorized access, refunded payment, or abuse. We will not remove legitimately purchased value arbitrarily.

17.6 Sofa Coins do not create earnings for any user. No recipient of a video call or other participant receives cash, Sofa Coins, or other compensation from another user's purchase.

17.7 You are responsible for reviewing the displayed Sofa Coin amount and Apple-localized price before confirming a purchase.

18. Circle Slots and Digital Entitlements

A Circle slot determines how many Circles an account may own or join at the same time.

18.1 Each registered account receives one free reusable Circle slot under the current service rules.

18.2 Creating or joining one Circle occupies one slot. Leaving a Circle, being removed, or dissolving a Circle releases the occupied slot for future use.

18.3 When offered, one additional reusable Circle slot costs 200 Sofa Coins. The price shown on the confirmation screen controls if a future service version lawfully changes the price.

18.4 An account may hold no more than five Circle slots under the current version. Purchase controls may prevent acquisition beyond that limit.

18.5 A purchased Circle slot is tied to the purchasing account, is not transferable, and is not a purchase of membership in any particular Circle.

18.6 A Circle slot purchase is completed only after the service successfully deducts the Sofa Coins and grants the entitlement. If either step fails, the transaction should be rolled back rather than partially completed.

18.7 Deleting your account permanently removes unused Sofa Coins and Circle slot entitlements associated with that account, except where restoration or a remedy is required by applicable law.

19. Paid One-to-One Video Calls

Eligible users may spend Sofa Coins for fixed-duration one-to-one video service with another online member of the same Circle.

19.1 Under the current rules, one paid video period provides 20 minutes of video service and costs the caller 50 Sofa Coins.

19.2 Before an invitation is sent, the caller must review and confirm the duration, price, charging point, non-charge conditions, and statement that neither participant receives earnings.

19.3 Lida may temporarily reserve the required Sofa Coins when the caller confirms the invitation. The reservation is released if the invitation is declined, canceled, expires, or fails before the initial connection is successfully established.

19.4 The 50 Sofa Coins are deducted only after the recipient accepts and the initial video connection is successfully established. Duplicate invitations or connection callbacks must not cause duplicate charges.

19.5 The paid period begins when the successful connection is recorded. Temporary disconnection during the active period may not pause the timer, and no additional charge is made merely for reconnection.

19.6 Only the original caller may purchase an additional 20-minute period. Extension requires a new manual confirmation and is never charged automatically.

19.7 If a verified service-side failure prevents the initial connection or causes a qualifying billing error, Lida may release the reservation, restore Sofa Coins, or provide another remedy required by law. Poor user connectivity, voluntary departure, permission refusal, or device failure may not qualify for restoration after service has begun.

20. Apple In-App Purchase, Refunds, Reversals, and Billing Disputes

Apple processes payments for digital purchases made through the iOS App, and Apple payment terms also apply.

20.1 Apple, not Lida, collects and processes your payment method. Lida may receive transaction identifiers, product information, receipt verification data, purchase status, price, currency, and refund or reversal information.

20.2 All purchase prices and taxes are displayed by Apple in the applicable storefront and currency before confirmation. You authorize Apple to charge the selected payment method when you approve the purchase.

20.3 Except where required by law or Apple policy, purchases of Sofa Coins and consumed digital services are final and non-refundable. Requests for a refund of an Apple transaction generally must be submitted to Apple through Apple's available refund process.

20.4 If Apple grants a refund, reverses a payment, or determines that a transaction was unauthorized, Lida may remove the corresponding Sofa Coins or entitlements and may restrict an account with an unresolved negative or fraudulent balance.

20.5 If a purchase is charged but the corresponding Sofa Coins are not credited, contact service@lida.support with the Apple transaction information needed to investigate. Do not send full card details or your Apple account password.

20.6 Billing disputes, chargebacks, or refund requests made in bad faith, used to retain consumed benefits without payment, or connected to fraud may result in balance correction, feature restrictions, or account termination.

20.7 Nothing in this Clause limits refund, cancellation, conformity, or consumer rights that cannot lawfully be excluded in your country or region.

PART VI

License, Apple Terms, and Legal Responsibility

App license, technical restrictions, Apple-specific terms, third-party services, warranties, liability, and indemnification.

21. License to Use Lida and Technical Restrictions

Lida and its software are licensed, not sold, for your personal, non-commercial use under these Terms.

21.1 Subject to your compliance with these Terms, Lida grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use the App on Apple-branded products that you own or control as permitted by Apple usage rules.

21.2 Lida, its visual design, software, code, trademarks, service marks, logos, text, interfaces, databases, and non-user content are owned by or licensed to the service provider and are protected by intellectual property laws.

21.3 You may not copy, distribute, sell, rent, sublicense, publicly display, modify, translate, create derivative works from, reverse engineer, decompile, disassemble, or attempt to derive source code from Lida except to the limited extent such restriction is prohibited by law.

21.4 You may not access Lida through unauthorized software, bots, crawlers, emulators, scripts, modified clients, or interfaces, or use the service to build a competing dataset, identity graph, communications service, or commercial product.

21.5 You may not remove proprietary notices, bypass technical protections, test vulnerabilities without written authorization, or use information obtained from Lida to identify, track, profile, or exploit another person.

21.6 Open-source components and third-party materials may be governed by their own license terms. Those terms control where they grant rights that differ from this Clause.

22. Apple App Store and Third-Party Services

The following terms apply when you obtain or use Lida through Apple's App Store.

22.1 These Terms are between you and the Lida service provider, not Apple. The service provider, not Apple, is solely responsible for Lida and its content, subject to applicable law.

22.2 Apple has no obligation to provide maintenance or support for Lida. Support requests should be directed to service@lida.support.

22.3 If Lida fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price paid for the App, if any. To the maximum extent permitted by law, Apple has no other warranty obligation regarding Lida.

22.4 The Lida service provider, not Apple, is responsible for addressing claims relating to the App, including product liability, regulatory compliance, consumer protection, and intellectual property claims, except to the extent law provides otherwise.

22.5 You represent that you are not located in a country subject to a United States government embargo and are not listed on a United States government list of prohibited or restricted parties.

22.6 You must comply with applicable third-party agreement terms when using Lida, including carrier, network, device, Apple, and communications-service terms.

22.7 Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the Apple-specific provisions against you upon your acceptance.

22.8 Lida may rely on third-party hosting, communications, analytics, security, support, and transaction-verification services. We are not responsible for independent third-party services outside our control, but we remain responsible where law requires.

23. Disclaimers, Limitation of Liability, and Indemnification

This Clause allocates risk to the maximum extent permitted by applicable law without limiting mandatory consumer rights.

23.1 Lida is provided "as is" and "as available." We disclaim implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, non-infringement, and uninterrupted availability to the extent permitted by law.

23.2 We do not warrant that users are accurately identified, trustworthy, safe, or compatible; that UGC is truthful or lawful; that reports will produce a specific result; or that every harmful act will be prevented or detected.

23.3 To the maximum extent permitted by law, Lida and its affiliates, officers, employees, licensors, and service providers are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost data, lost opportunities, or reputational harm arising from use of the service.

23.4 To the maximum extent permitted by law, the aggregate liability of Lida and the persons listed above for all claims arising from or relating to the service will not exceed the greater of USD 100 or the amount you paid through Lida during the 12 months before the event giving rise to the claim.

23.5 The exclusions and cap do not apply to fraud, willful misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be limited or excluded.

23.6 You agree, to the extent permitted by law, to defend, indemnify, and hold harmless Lida and its affiliates from third-party claims, losses, and reasonable costs arising from your UGC, unlawful conduct, infringement of rights, misuse of the service, or material breach of these Terms.

23.7 We will provide reasonable notice of an indemnified claim where practicable and may control the defense and settlement. You may not settle a claim in a manner that admits liability or imposes obligations on Lida without written consent.

PART VII

Termination, Disputes, and General Provisions

Suspension, account deletion, governing law, disputes, updates, notices, assignment, severability, and contact details.

24. Suspension, Termination, Account Deletion, and Effects

You may stop using Lida at any time, and we may restrict or terminate access when justified under these Terms.

24.1 You may sign out or delete your account through the available in-app process. If you own a Circle, you may be required to dissolve it before account deletion can be completed.

24.2 Account deletion removes access to your profile, Circles, chat, Lounges, video features, unused Sofa Coins, and purchased Circle slots. Deleted virtual items and entitlements cannot be recovered except where required by law or an approved restoration process.

24.3 We may warn, restrict, suspend, or terminate an account or feature for a breach of these Terms, safety risk, suspected fraud, unlawful conduct, payment reversal, technical abuse, repeated reports, underage use, or conduct that threatens Lida or another person.

24.4 We may immediately terminate accounts involved in CSAE, credible threats, serious exploitation, malicious technical attacks, or other severe violations, and may preserve or report information as required or permitted by law.

24.5 Termination ends the license granted in Clause 21. You must stop using the App and may need to delete it from your devices.

24.6 Clauses that by their nature should survive termination will continue, including ownership, licenses needed for retained records, purchase records, disclaimers, liability limits, indemnification, dispute terms, and enforcement rights.

24.7 We are not liable for loss of access to UGC, Circle history, virtual items, or relationships resulting from a lawful suspension, termination, Circle dissolution, member removal, or account deletion, except where law requires a remedy.

25. Governing Law, Dispute Resolution, and Consumer Rights

We encourage users to raise concerns directly so that disputes may be resolved efficiently and fairly.

25.1 Before filing a formal claim, contact service@lida.support with a description of the issue, the requested resolution, and relevant account or transaction information. The parties should attempt in good faith to resolve the matter for at least 30 days.

25.2 Except where mandatory local law provides otherwise, these Terms are governed by the laws of the jurisdiction in which the Lida service provider is established, without regard to conflict-of-law principles.

25.3 Except where mandatory consumer law allows you to bring a claim in your place of residence, disputes will be submitted to the courts with competent jurisdiction at the principal place of business of the Lida service provider.

25.4 Nothing in these Terms deprives you of protections, remedies, forums, limitation periods, or rights that cannot be waived under the law of your country or region.

25.5 You and Lida may seek urgent injunctive or protective relief from a competent court when necessary to prevent unauthorized access, intellectual property infringement, serious safety harm, fraud, or misuse of confidential information.

25.6 The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms to the extent its exclusion is permitted.

26. Changes to These Terms, Notices, Assignment, Severability, and Contact

These general provisions explain how the agreement is updated and interpreted.

26.1 We may update these Terms to reflect changes in Lida, safety practices, technology, legal requirements, Apple rules, paid features, or business operations. The Effective Date will be revised when changes take effect.

26.2 For material changes, we may provide notice in the App, through an official website, by email, or by another reasonable method. Where required by law, we will request renewed acceptance before the changes apply.

26.3 Continued use after updated Terms become effective constitutes acceptance where permitted by law. If you do not accept an update, you must stop using Lida and may delete your account.

26.4 You may not assign or transfer these Terms, your account, or your rights without our written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, asset transfer, or change of service provider, subject to applicable law.

26.5 If a provision is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver.

26.6 These Terms, the Privacy Policy, Community Guidelines, and applicable feature-specific terms constitute the entire agreement concerning Lida and replace prior discussions or representations about the same subject.

26.7 Headings are for convenience only. "Including" means "including without limitation," and the singular includes the plural where context requires.

26.8 Questions, legal notices, purchase concerns, safety reports, and complaints may be sent to service@lida.support. Do not send passwords, full payment card numbers, or illegal content.

26.9 Effective Date: August 4, 2026.
